Job Title: Company Secretary
Department: Legal & Compliance
Location: Sirshi Road, Jaipur
Reports To: Board of Directors / CEO
Job Overview:
A Company Secretary (CS) ensures that an organization complies with legal and regulatory requirements. They act as a key advisor to the board of directors and senior management, ensuring corporate governance best practices and handling statutory and compliance-related matters.
Key Responsibilities:
1. Compliance & Regulatory Affairs:
- Ensure compliance with corporate laws, including the Companies Act and other applicable regulations.
- Maintain statutory books, including registers of members, directors, and secretaries.
- File necessary documents with regulatory authorities such as the Ministry of Corporate Affairs (MCA), SEBI, and other government bodies.
- Ensure compliance with stock exchange listing requirements (for publicly listed companies).
2. Corporate Governance & Board Support:
- Organize and attend board meetings, general meetings, and committee meetings.
- Prepare agendas, minutes, resolutions, and other board-related documents.
- Advise the board on governance, ethics, and best practices.
- Ensure proper execution of board decisions and policies.
3. Legal & Contract Management:
- Draft and review contracts, agreements, and legal documents.
- Provide legal guidance on corporate matters, mergers, acquisitions, and investments.
- Liaise with legal counsel and regulatory bodies as needed.
4. Risk Management & Ethics:
- Monitor changes in laws and regulations and advise management accordingly.
- Implement risk management policies and ensure regulatory compliance.
- Uphold ethical practices and ensure corporate social responsibility (CSR) compliance.
5. Shareholder & Investor Relations:
- Act as a liaison between the company and shareholders/investors.
- Handle share transfers, dividends, and other investor-related matters.
- Ensure transparency in shareholder communication and reporting.
Qualifications & Experience:
- Education: Qualified Company Secretary (CS) from ICSI (Institute of Company Secretaries of India) or equivalent certification.
- Experience: 5 years of experience in corporate governance, legal compliance, or a related field.
- Skills:
- Strong knowledge of corporate law and governance.
- Excellent communication and negotiation skills.
- Proficiency in legal documentation and contract management.
- Attention to detail and ability to handle confidential matters.
Preferred Qualifications:
- LLB or MBA in Finance/Corporate Law (preferred but not mandatory).
- Experience in listed companies or multinational corporations (MNCs) is a plus.
